transformation 9 008 followers 9mo report this post the boat auditor report should terrify every finance professional everyone talks about boat s brand story but almost no one talks about what their statutory auditor just reported and honestly it s a forensic red flag buffet here are the actual remarks from the auditor s report why every ca should pay attention 7 red flags you never want to see in a company 1️⃣ bank statements don t match the books fy23 fy24 fy25 the most fundamental test of integrity failed this alone is a stop everything alert for any auditor 2️⃣ short term funds used for long term purposes classic liquidity risk cash flow mismatch governance weakness 3️⃣ cash losses everywhere not just in boat but across subsidiaries associates and joint ventures 5 entities reporting losses simultaneously this is rarely a coincidence 4️⃣ directors paid above companies act limits section 197 breached this is not a mistake it s an intentional override of statutory boundaries 5️⃣ no backups of financial records for a 4 000 crore brand this is beyond negligent this is internal control collapse 6️⃣ physical verification of assets not done when long lived assets aren t verified two possibilities poor governance or something far worse 7️⃣ material uncertainty around subsidiaries ability to meet liabilities auditor explicitly calls out doubt on going concern that line alone deserves national headlines and remember the founder aman gupta is a ca which raises bigger questions where did the control systems fail did governance scale as fast as the revenue story why were such issues allowed to accumulate across multiple years bigger lesson for the ca community this case isn t about boat it s about the future of auditing in india are we giving enough weight to early stage red flags are boards respecting the role of auditors are auditors empowered to escalate issues or expected to not rock the boat are we moving toward real internal audit value or box ticking compliance one question for every ca auditor analyst if these 7 red flags appeared in your client s audit what would you do comment below the discussion could reshape how india thinks about audit quality more no cybersecurity and risk management but they serve very different purposes if you re a financial institution or an ict provider working with financial institutions in the eu dora compliance is mandatory and iso 27001 alone won t get you there let s break it down 1 regulatory vs voluntary framework iso 27001 a voluntary international standard for information security management dora a mandatory eu regulation for financial entities and their ict providers with strict oversight and penalties for non compliance 2 scope and focus iso 27001 offers a customizable scope tailored to organizational needs focusing on information security confidentiality integrity availability based on specific risk assessments and chosen controls dora enforces a standardized scope across financial entities extending beyond security to operational resilience it ensures institutions can withstand respond to and recover from ict disruptions while maintaining service continuity 3 key compliance gaps incident reporting iso 27001 requires incident management but doesn t impose strict deadlines or mandate reporting to regulators as it is a flexible standard dora 4 hours to report a major incident 72 hours for an update 1 month for a root cause analysis security testing iso 27001 requires vulnerability management but leaves testing methods and frequency to organizational risk dora annual resilience testing threat led penetration testing every 3 years continuous vulnerability scanning third party risk management iso 27001 covers supplier risk but with general security controls dora enforces contractual obligations exit strategies and regulatory audits for ict providers working with financial institutions 4 how financial institutions and ict providers can address the delta perform a dora gap analysis identify missing controls beyond iso 27001 hopefully you re not still at this stage now that dora has been mandatory since january 17 2025 upgrade incident response implement real time monitoring and reporting mechanisms to meet dora s deadlines enhance security testing introduce formalized resilience testing and threat led penetration testing strengthen third party risk management update contracts prepare for regulatory audits and ensure exit strategies comply with dora improve business continuity planning move from cybersecurity alone to full digital operational resilience iso 27001 is just the tip of the iceberg beneath the surface lie significant gaps that only dora addresses what s the biggest challenge in aligning with dora let s discuss ️ sustainability leaders tedx speaker co founder at palau chief sustainability community officer 25 819 followers 1y report this post yesterday companies were essentially encouraged to stop their csrd reporting because the commission promised a fast track to delay csrd by 2 years but here s the irony there s no such thing as a fast track in the eu commission even at its quickest the process could take 4 to 7 months and that s being optimistic looking at how long it took to transpose csrd and the fact that some countries still haven t completed it the promise of immediate relief from csrd is extremely misleading the eu commission is putting companies at risk of non compliance by creating a lose lose situation option 1 stop csrd reporting and hope the delay is adopted but csrd is still legally binding and companies could face penalties for non compliance option 2 continue reporting only to find out later that csrd has been delayed resulting in sunk costs the eu commission is promising companies something they can t deliver on leading to more chaos and uncertainty instead of relief they re creating confusion what companies should do instead don t stop your csrd work focus on the strategic elements of csrd especially on dma and gap analysis prepare for any outcome by continuing with strategic work you ll be ready to proceed once the political chaos settles even in 2 years these findings will be useful keep leadership informed make sure they understand the complexities and timelines involved in eu law adoption and transposition a note for companies falling out of scope 1000 employees don t be too quick to celebrate the 1000 employee threshold is just a proposal and only germany is fully supporting the 2 year delay many other countries are reluctant which means we ll see intense political negotiations and trade offs this could result in changes in scoping criteria that s why i urge companies to continue strategic work for at least a few more months until we see how this political battle plays out don t risk falling into non compliance more no more previous content no more next content 1 499 86 comments like comment share copy linkedin facebook x john figure it out if your boss doesn t understand the numbers then you haven t communicated you ve just forwarded a report a financial statement without context is just data your job is to turn that data into insights how to present financials the right way 1️⃣ give a one page summary highlight key figures revenue profit cash flow and key ratios include clear takeaways e g revenue grew 10 but margins dropped due to rising costs avoid technical jargon simplify complex metrics 2️⃣ answer the big questions your ceo doesn t want numbers they want meaning help them understand what changed profit
